SPECIFIC TERMS AND CONDITIONS OF LINE SERVICES FOR BUSINESS PARTNERS “LINE POINT CODE”

 

Article 1 Applicability of the Specific Terms and Conditions

(1) The Specific Terms and Conditions of LINE Services for Business Partners “LINE Point Code” (the Specific Terms and Conditions) set forth the terms and conditions for the use of the “LINE Point Code” service (the Point Code Service) provided by LINE Company (Thailand) Limited (LINE) to the Business Partner.  

(2) The Specific Terms and Conditions apply together with the Major Terms and General Terms and Conditions of the Services (the Major Terms and Conditions). In the event of a discrepancy between the Specific Terms and Conditions and the Major Terms and Conditions, the Specific Terms and Conditions will prevail. 

 

Article 2 Definitions

The defined terms used in the Specific Terms and Conditions are defined in this Article or otherwise as indicated Specific Terms and Conditions upon the first use of the defined term.  The definitions set forth in the Major Terms and Conditions apply to those terms not defined in the Specific Terms and Conditions.

(i) LINE Point Code means the fixed number issued by LINE and comprised of a combination of symbols and numbers, which functions as a PIN code that can be exchanged for LINE Points.  LINE Point Code can be used by entering a PIN code at 

https://points.line.me and exchanging into LINE Points. 
(ii) LINE Points means points issued to the LINE Users by LINE based on its points program “LINE Points Services.”. 
Article 3 Formation of Contract
(1) The Business Partner will submit an application to LINE for the Point Code Service in the manner designated separately by LINE.
(2) If LINE accepts the application under Article 3(1), LINE will notify the Business Partner of the fact that LINE has accepted the application and the Parties deem that a contract for use of the Point Code Service (the Contract) is entered into and effective as of the date that LINE sends the notification to the Business Partner. The notification under this Article 3(2) may be in the form of an invoice issued by LINE in accordance with Article 4(1) (Payment) of the Specific Terms and Conditions.

Article 4 Payment
(1) When LINE receives an application for the LINE Point Code Service in accordance with Article 3(1) (Formation of Contract) and accepts such application, LINE will charge the Business Partner for the fees incurred under the Contract by issuing an invoice to the Business Partner. 
(2) The Business Partner will pay to LINE the amount stated in the invoice issued in accordance with Article 4(1) by the method and time specified in advance by LINE.  The Business Partner will bear any fees necessary to complete the payment.    
(3) The Business Partner acknowledges and agrees that amounts paid to LINE pursuant to Article 4(2) are not refundable for any reason.  

Article 5  Delivery
(1) After confirmation of the payment pursuant to Article 4(2) (Payment), LINE will issue LINE Point Codes to the Business Partner.  The Activation Date means the date specified by the Business Partner at the time of application under Article 3(1) (Formation of Contract) as the date after the issuance of the LINE Point Codes when it will be possible to use the LINE Point Codes.
(2) LINE will send the LINE Point Codes in the form of a CSV file pursuant to Article 5(1) to the Business Partner at the address designated by the Business Partner at the time of application under Article 3(1).   
(3) LINE will send the password for the CSV file described in Article 5(2) (the Password) by e-mail to the Business Partner at the e-mail address designated by the Business Partner at the time of application under Article 3(1). 
(4) Delivery of the LINE Point Code will be deemed completed upon the arrival of the LINE Point Codes and the Password in accordance with Article 5(3).  Delivery Date means the date on which delivery is completed.
(5) LINE will notify the Business Partner with the transmission of the e-mail under Article 5(3) of the expected arrival date of the LINE Point Codes under Article 5(1).  The Business Partner will notify LINE within seven (7) days after the expected arrival date either (i) that the Business Partner has received the LINE Point Codes or (ii) that the Business Partner has not received the LINE Point Codes.  If LINE does not receive either notification from the Business Partner in accordance with the previous sentence, the Delivery Date will be deemed to be the date that is seven (7) days after the expected arrival date irrespective of the provisions of Article 5(4).

Article 6  Use
(1) The Business Partner may not distribute the LINE Point Codes to Users by any of the following methods, provided that this restriction will not apply where LINE has provided consent in writing: 
(i) Sale of the LINE Point Codes to Users or other distribution for which the Business Partner receives compensation; 
(ii) Transfer or other assignment of the LINE Point Codes to third parties other than Users irrespective of whether such transfer or other assignment is compensated or not compensated; or  
(iii) Distribution of the LINE Point Codes in violation of any other applicable law or regulation in Thailand. 
(2) The period of use for the LINE Point Codes will be two year from the Activation Date.  After the period of use, LINE Point Codes expire and cannot be exchanged for LINE Points.  Upon the expiration of a LINE Point Code, LINE will not refund or otherwise provide any monetary damages relating to payment received under Article 4 (Payment). 
(3) The Business Partner will provide notification as specified by LINE to the User of the distributed LINE Point Code regarding the method for exchanging a LINE Point Code for LINE Points, the method for using LINE Points based on the LINE Points Terms of Use and other matters. 

Article 7  Risk of Loss
(1) LINE will bear the risk of loss or destruction of the LINE Point Codes and Passwords until the Delivery Date, unless such loss or destruction was caused by the Business Partner.  LINE’s responsibility and cost thereof will be handled by the reissuance of the LINE Point Codes or Passwords or other measures designated by LINE. 
(2) The Business Partner will bear the risk of loss or destruction of the LINE Point Codes and Passwords after the Delivery Date, inclusive of the Delivery Date, unless such loss or destruction was caused by LINE. 

Article 8  Term
(1) The Contract will be in effect from the date of contract formation in accordance with Article 3(2) (Formation of Contract) until the expiration of use of the LINE Point Code as set forth in Article 6(2) (Use), provided that the Contract term may be extended by the written agreement of LINE and the Business Partner. 
(2) The Business Partner may terminate the Contract by providing one-month’s advance notice in writing to LINE.
(3) In the event of termination of the Contract pursuant to Article 8(2), LINE will not refund the purchase price of the LINE Point Codes or provide any other financial compensation to the Business Partner even if there is a balance remaining for the LINE Point Codes.
